Adam M. Haberfield - Shareholder

Adam focuses his practice on advising entrepreneurs and emerging growth businesses on all aspects of corporate activity, including:

  • Entity choice and formation
  • Shareholders’ agreements
  • Buy/sell arrangements
  • Agreements with key executives
  • Raising capital (both equity and bank financings)
  • Creation of joint ventures
  • Mergers and acquisitions

He also handles a variety of commercial real estate matters, including:

  • Purchases and sales of commercial, industrial and multiple dwelling properties
  • Construction financing
  • Leases of office and commercial space

Adam regularly lectures on corporate law topics before professional organizations and business groups.

Representative Experience
  • $25 million merger of a transportation and logistics services company in a national “roll up” of similar businesses by a private equity fund (seller’s counsel).
  • General corporate representation for a marketing firm with over 100 employees and $40 million annual revenue. Responsible for drafting and negotiating material contracts with clients, key employees and suppliers, supervision of litigation and implementation of incentive compensation programs.
  • Purchase of land and $85,000,000 construction loan for a multi-family, residential real estate project (developer’s counsel).
  • General corporate representation of substantial, family-owned consumer products retailer. Recently recapitalized operating and real estate entities, and prepared shareholders’ agreements with complex buy-sell provisions, to address family succession issues.
  • $20 million sale of privately-held company in the insurance industry to a publicly-traded company.
  • Representation of private foundation in the sale of large tract of land to a university. Formed non-profit entity to lease back the historic portion of the property from the university for use as a public museum and negotiated loan of priceless historic artifacts to the university, including letters from George Washington and Thomas Jefferson. Presently continuing to act as the museum’s primary counsel.
  • Represented management team in a “going private” buyout of a distressed, NASDAQ-traded technology company.
  • Private placement of limited partnership interests in connection with construction of a mixed-use real estate development project (issuer’s counsel).
