Adam Haberfield is a Co-President of the Firm and shareholder in the Corporate and Real Estate Groups. He represents a broad range of clients and has a diverse practice involving sophisticated corporate and real estate transactional matters.

In the traditional corporate arena, Adam has extensive experience in the mergers and acquisitions area, representing buyers and sellers in asset- and stock-based transactions. In addition, he regularly functions as outside general counsel on behalf of middle-market private companies in a variety of industries, including technology, food and beverage, business services and consumer products, where he is responsible for drafting and negotiating material contracts with clients, key employees and suppliers, supervision of litigation and assisting with other transactional or operational needs.

Adam focuses his real estate practice on acquisitions, dispositions, development, redevelopment, investment and finance of all types of multi-family residential, office, retail, hotel, mixed use and industrial properties. He regularly represents developers, investors and other institutional and non-institutional owners of commercial real estate and has extensive experience in acquisitions and sales, commercial mortgage, mezzanine and construction financings, complex joint ventures, and development and construction projects.

  • Advised Bain Capital in connection with purchase of leading producer of specialty cosmetic products by its portfolio company, WWP (transaction terms not disclosed).
  • Represented one of the nation’s largest privately held real estate development and management organizations in creating a complex joint venture with a publicly traded REIT to develop a multi-family apartment complex in Austin, TX, which involved a ground lease structure, negotiating new easements and amendments to existing REAs, and a multiple-layered joint venture structure.
  • Counseled Richards Manufacturing, a premier manufacturer of overhead and underground electrical and natural gas distribution products, in a strategic investment by funds managed by Oaktree Capital Management, L.P. (transaction terms not disclosed)
  • Represented Roseland Property Company in $134 million sale to Mack-Cali Realty Corporation
  • Represented multi-family housing developer in a multiple-layered joint venture, including a contributing landowner and construction financing for the development of a $75+-million apartment community with a mix of market-rate and affordable units located in Cherry Hill, NJ. This complicated development included negotiation of a reciprocal easement agreement with an adjacent retail owner for certain shared infrastructure.
  • Representation of private foundation in the sale of large tract of land to a university. Formed non-profit entity to lease back the historical portion of the property from the university for use as a public museum and negotiated loan of priceless historic artifacts to the university, including letters from George Washington and Thomas Jefferson. Presently continuing to act as the museum’s primary counsel.
